1. Scope and Provider

These Terms and Conditions (hereinafter "T&C") govern the use of the software tool "CPI Transporter" (hereinafter "Tool"), provided by

(hereinafter "Provider" or "we")

to the user (hereinafter "User" or "you"). We do not recognize any conflicting or deviating terms and conditions of the User unless we have expressly agreed to their validity in writing.

2. Subject Matter and Scope of Services

The subject of this agreement is the provision of the CPI Transporter. The CPI Transporter is a software tool designed to simplify and accelerate the transport of integration flows and related artifacts within SAP Cloud Platform Integration (CPI) environments.

The Tool is offered in different versions:

  • Free Version: Allows basic use of the Tool. This includes package-to-package transports within a tenant, system-to-system transports, configuration overview and adjustment during transports, and viewing version history. System data storage is limited to 48 hours, and up to 2 systems can be managed. Use of the Free Version is free of charge.
  • PLUS+ Version (paid): In addition to the features of the Free Version, it offers:
    • Instant Deployment: Artifacts can be deployed directly to the target system after transport.
    • Automatic Routing: The system remembers transport routes of previously transported artifacts and suggests them for subsequent transports.
    • Management of up to 15 systems.
    • Permanent storage of system data (configurable).
    • System Import/Export functions.

  • Enterprise Version (paid): In addition to the features of the PLUS+ Version, it offers, among other things, unlimited systems and users, Value Mapping Transport, a periodic backup tool, as well as optional on-premise installation or private cloud hosting and direct support. Details and prices on request.

The Provider strives to continuously develop and improve the Tool. However, there is no claim to specific functionalities or uninterrupted availability beyond the properties guaranteed in the respective service description. Support for the PLUS+ and Enterprise Versions is offered via email and telephone during standard German business hours; there are no guaranteed Service Level Agreements (SLAs) regarding response times unless individually agreed otherwise.

Use of the Tool requires a functioning internet connection and a compatible web browser. Certain functions, such as starting a transport directly from SAP CPI, require the installation of a browser extension (see notes on our website).

3. Registration, Conclusion of Contract, and Payment Processing for PLUS+ and Enterprise Version

The use of the Free Version of the CPI Transporter does not require separate registration beyond local configuration in the Tool and is free of charge.

To purchase the PLUS+ Version, an order must be placed via our website (/plus). By clicking the order button, the User makes a binding offer to conclude a paid usage contract. We accept the offer by activating the PLUS+ functions or by sending a separate confirmation email. For payment processing for the PLUS+ Version, we use the service provider Stripe Payments Europe, Ltd. Their terms of use and data protection conditions apply in addition and can be viewed at stripe.com/privacy and stripe.com/legal/consumer.

The contract for the Enterprise Version is concluded by individual agreement. Please contact us for this purpose.

4. User Rights and Obligations

We grant you a non-exclusive, non-transferable right, limited to the term of the usage contract, to use the Tool in accordance with these T&C. For the PLUS+ and Enterprise Version, the right of use is bound to the number of licenses purchased (one license per user, unless otherwise agreed). The license is user-specific and may be used by the licensed user on a maximum of 2 devices simultaneously.

In case of suspected misuse or violation of this usage restriction, we reserve the right to limit usage to one device. In case of serious or repeated violations, we may terminate the subscription with immediate effect.

The User is obliged to:

  • Use the Tool only within the scope of its intended use and these T&C.
  • Ensure that access data for the PLUS+ or Enterprise Version (e.g., license key) is kept secret and not passed on to unauthorized third parties.
  • Create appropriate data backups (backups) of their SAP CPI instances and the artifacts to be transported before each use of the Tool, especially before carrying out transports in productive systems.
  • Carefully check the functionality of the Tool and the effects of transports in test or development environments before involving productive systems.
  • Observe all applicable laws and third-party rights when using the Tool. In particular, it is prohibited to use the Tool for illegal purposes or to transport content that violates laws or third-party rights.
  • Install updates for the Tool provided by the Provider promptly, if this is necessary for security and functionality and the installation is reasonable for the User.
  • Refrain from any actions that could impair or overload the functionality of the Tool or the underlying infrastructure.

The User is solely responsible for the transports carried out by them using the Tool and the configuration of their systems. The Provider has no access to the User's SAP CPI systems or the content of the transports.

5. Prices, Payment Terms, Term, and Termination for PLUS+ Version

The prices for the PLUS+ Version are based on the current price list published on our website (/plus). All prices include statutory VAT, where applicable.

Payment is made via the payment method offered on the website (Stripe). Billing for the PLUS+ Version is monthly in advance. The contract for the PLUS+ Version is concluded for an indefinite period and can be terminated by the User at any time to the end of the current billing month. Termination can be made via the customer portal (if available, insert link) or by email to [email protected]. The right to extraordinary termination for good cause remains unaffected.

The Provider reserves the right to change the prices for the PLUS+ Version with a reasonable notice period of at least four weeks. In the event of a price increase, the User has a special right of termination.

Prices and conditions for the Enterprise Version are agreed individually.

6. Liability

The use of the CPI Transporter is at the User's own risk. The Provider provides the Tool with care and to the best of its knowledge, but cannot guarantee that it will function error-free and without interruption at all times.

The Provider is liable without limitation for damages resulting from injury to life, body, or health that are based on an intentional or negligent breach of duty by the Provider or an intentional or negligent breach of duty by a legal representative or vicarious agent of the Provider.

For other damages, the Provider is liable only if these are based on an intentional or grossly negligent breach of duty by the Provider or on an intentional or grossly negligent breach of duty by a legal representative or vicarious agent of the Provider. In the case of slightly negligent breach of essential contractual obligations (cardinal duties), the Provider's liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are those whose fulfillment makes the proper execution of the contract possible in the first place and on whose compliance the User may regularly rely.

In particular, the Provider assumes no liability for:

  • Data loss or data corruption in the User's SAP CPI systems or other systems. The User is responsible for adequate and regular data backup (see Section 4).
  • System failures, operational interruptions, or performance problems in the User's SAP CPI systems or infrastructure that may arise from the use of the Tool or from incorrect transports.
  • Direct or indirect financial damages or lost profits resulting from the use or inability to use the Tool.
  • Damages caused by improper operation, incorrect configuration by the User, or incompatibilities with the User's system environment.

The foregoing limitations of liability do not apply in the event of fraudulent concealment of defects, the assumption of a guarantee of quality, or liability under the Product Liability Act.

Insofar as the Provider's liability is excluded or limited, this also applies to the personal liability of employees, representatives, and vicarious agents of the Provider.

Important Note on User Responsibility

The User is aware and accepts that the CPI Transporter is a tool that can make profound changes in SAP CPI systems. Careful checking of all inputs, configurations, and the execution of tests in non-productive environments before productive use are the sole responsibility of the User. The Provider strongly recommends creating complete backups of the affected systems and artifacts before each use, especially in productive systems.

7. Data Privacy

Details regarding the processing of personal data can be found in our separate Privacy Policy. The Privacy Policy is an integral part of these T&C.

8. Warranty and Defect Claims

For the Free Version of the CPI Transporter, the Tool is provided to the User free of charge and "as is". The Provider assumes no warranty for material or legal defects for the Free Version, except for fraudulently concealed defects.

For the paid PLUS+ and Enterprise Version, the statutory warranty provisions apply. The warranty period is one year from the provision of the respective version if the User is an entrepreneur within the meaning of § 14 BGB (German Civil Code); for consumers within the meaning of § 13 BGB, the warranty period is two years.

A defect exists if the Tool does not have the agreed quality or is not suitable for the contractually presumed or ordinary use. Insignificant deviations from the agreed quality or insignificant impairments of usability do not constitute a defect.

The User is obliged to notify the Provider in writing or by email of obvious defects immediately, but no later than within two weeks of becoming aware of them. Hidden defects must be reported immediately after their discovery. If these deadlines are missed, warranty claims for these defects are excluded.

In the event of a defect in the PLUS+ or Enterprise Version, the Provider has the right to subsequent performance, i.e., at its discretion, either to remedy the defect (rectification) or to deliver a defect-free version (replacement). If subsequent performance fails, the User may, at their discretion, demand a reduction in remuneration (reduction), withdraw from the contract, or claim damages within the limits set out in Section 6 (Liability).

No warranty claims exist for defects caused by improper use, incorrect operation or configuration by the User, by external influences (unless the Provider is responsible for them), or by non-compliance with the usage and system requirements.

9. Changes to these Terms and Conditions

The Provider reserves the right to change these T&C at any time. The changed conditions will be announced to the User no later than two weeks before they come into effect by email (if an email address has been provided by the User for the PLUS+ or Enterprise Version) or by a clear notice on the CPI Transporter website.

If the User does not object to the validity of the new T&C within two weeks of receiving the notification, the amended T&C shall be deemed accepted. The Provider will separately inform the User in the notification about their right to object and the significance of the objection period.

In the event of an objection by the User, the Provider has the right to terminate the usage contract for the PLUS+ or Enterprise Version at the next possible ordinary termination date. For Users of the Free Version, the changes come into effect with their publication; continued use is deemed as consent.

11. Final Provisions

The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory provisions of the state in which the User has their habitual residence remain unaffected.

If the User is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the User and the Provider shall be the Provider's registered office (Hamburg).

Should individual provisions of these T&C be or become wholly or partially invalid, this shall not affect the validity of the remaining provisions (severability clause). The statutory provisions shall take the place of the invalid provision.

The European Commission provides a platform for online dispute resolution (ODR), which you can find at https://ec.europa.eu/consumers/odr. We are not obliged or willing to participate in a dispute resolution procedure before a consumer arbitration board.
